Introduction and Acceptance
Welcome to Taskpull ! These Terms and Conditions (“Terms”) govern your access to and use of taskpull.com and all related services (collectively, the “Platform”). By registering an account or using the Platform, you (“User” or “you”) agree to be bound by these Terms, which form a binding contract between you and Taskpull (Taskpull at Radelandstraße 38, 13589 Berlin, Germany). If you do not agree, you may not use our services.
We may update these Terms from time to time. We will notify you of major changes (e.g. via email or Site notice). Continued use after changes means you accept the revised Terms.
Definitions: In these Terms, “Buyer” refers to a User purchasing services or digital products, and “Seller” refers to a User offering and selling services or products on the Platform (also called “freelancers”). “Service” refers to any freelance service or digital product listed on Taskpull. The “Company” (also “we” or “us”) refers to Taskpull.
Taskpull is an online marketplace platform that connects Buyers and Sellers of freelance services and digital goods worldwide. We provide the venue and tools for Users to transact. Taskpull is not a party to the contracts between Buyers and Sellers, who contract directly with each other. Taskpull does not provide the actual freelance services; Sellers are independent contractors, not employees, ofTaskpull.
2. Eligibility and User Accounts

Minimum Age: You must be at least 18 years old to register and use Taskpull’s Platform. By creating an account, you confirm that you are 18 or older and capable of entering into a binding contract. We do not allow minors under 18 to use the Platform, and we do not knowingly collect personal data from anyone under 18 (see Privacy Policy).

One Account Rule: Each User may have at most one Buyer account and one Seller account. Creating multiple accounts of the same type (e.g. two Seller profiles) or misrepresenting your identity is prohibited. If you wish to both buy and sell, you may either use a single account for both purposes (if the Platform supports combined profiles) or maintain one of each type if strictly required by the Platform design. In any case, you may not transfer or share your account with others. You are responsible for all activity under your login credentials.

Account Information: When registering, you agree to provide accurate, truthful, and complete information. This includes your legal name, a valid email address, and any other details we request during signup or later (such as address or payment information). You must keep your account information updated. Impersonating someone else or providing false details is forbidden.

Account Security: You are responsible for maintaining the confidentiality of your password and for restricting access to your account. Notify us immediately of any unauthorized use or security breach. We will not be liable for losses due to compromised credentials if caused by your negligence.

Identity Verification: To maintain a safe marketplace, we require Sellers to complete identity verification. We may also ask Buyers to verify identity if needed (for example, if a transaction is high-value or flagged for fraud review). By signing up, you authorize Taskpull to make any inquiries necessary to validate your identity and eligibility. You agree to provide promptly, upon request:

Government-issued identification (e.g. passport or national ID) and possibly a selfie or video call for identity confirmation.

Proof of address or other documents as needed.

Confirmation of ownership of payment methods or emails (we may ask you to verify your email/phone or small charge on a credit card).
Taskpull reserves the right to suspend or terminate your account if identity or age cannot be verified to our satisfaction. We also reserve the right to perform checks (ourselves or through third parties) against databases for sanctions, criminal convictions (where lawful), or other background information to ensure user integrity and compliance with law.

Additional Requirements: Users must be able to form legally binding contracts. If you are registering on behalf of a business or entity, you represent that you have authority to bind that entity to these Terms, and “you” will refer to that entity. Users barred from using similar services by any law (e.g. on sanction lists or previously banned from our Platform) are not allowed.
3. Using the Platform – General User Guidelines
By using Taskpull, you agree to the following rules of conduct:

Keep All Communication On-Platform: To protect all parties and ensure our fees are paid, Buyers and Sellers must communicate solely via Taskpull before and during the execution of any project. Any attempt to solicit or share personal contact details (email, phone, Skype, etc.) to communicate or transact outside of Taskpull is strictly prohibited. Users should not send each other their direct contact info or ask to be contacted off-site. If a Buyer or Seller suggests moving off-platform (for communication or payment), refuse and report it to us. Taskpull may monitor communications on the Platform to enforce this rule and ensure user safety. Violation can result in account suspension or termination. (This rule is in place to prevent fraud and “circumvention” of our fees, in line with industry standards.)

Prohibited Content and Activities: You shall not use Taskpull for any unlawful or abusive purpose. This includes but is not limited to:

Illegal Services or Products: Offering or requesting any service or content that violates any law or regulation (e.g. hacking, counterfeit goods, illicit pornography, plagiarism, copyrighted material without authorization, etc.) is forbidden. Users must ensure their tasks and deliverables comply with intellectual property rights – you may not sell stolen or unlicensed works or encourage piracy.

Fraud and Deception: You must not defraud, misrepresent, or falsely advertise your services. Sellers should accurately describe their experience and deliverables; Buyers should not abuse the platform’s guarantee or engage in payment fraud (such as using stolen credit cards or initiating unjustified chargebacks).

No Spam or Solicitation: Do not send bulk unsolicited messages, advertisements, or proposals irrelevant to the jobs at hand. Also, do not harass or bully other users with repeated messages.

Malware or Security Violations: You must not distribute viruses, malware, or any harmful code via the Platform. Do not attempt to interfere with the Platform’s operation or try to bypass any security measures.

Personal Data Abuse: Avoid requesting personal data that is not necessary for the work. Any exchange of personal data for the purpose of completing a project must comply with privacy laws and our Privacy Policy. Sellers especially should not ask Buyers for sensitive personal info beyond what’s needed for the project.

Multi-Account Abuse: As noted, having multiple accounts or fake identities is forbidden. Also, you may not artificially boost ratings or feedback (no feedback trading or self-reviews).
Taskpull reserves the right to review, flag, and remove any content or activity that, in our judgment, violates these guidelines or is otherwise harmful or objectionable. We may also edit profiles or listings to remove prohibited content or suspend accounts engaged in misconduct. These rules, along with any Community Standards we publish, are in place to maintain a safe, professional environment for all users.

No Circumvention of Platform: You agree not to circumvent or bypass Taskpull in conducting transactions. Specifically, you will not accept or solicit payments outside the Platform for services introduced through Taskpull. Our fees enable us to provide buyer protections and support; circumventing them is a serious violation. If a user attempts to pay or get paid off-platform, decline and report it. For clarity, if you met a client or freelancer on Taskpull, you must process all related payments through Taskpull for at least 2 years from the first meeting on the Platform, unless you obtain our written permission to do otherwise.

Account Suspension: We may suspend or terminate accounts that violate these Terms (see Section 8 on Termination). If your account is suspended, you must stop using the Platform. You may not create a new account if your original was terminated for violations.
4. Marketplace Transactions (Buyer and Seller Responsibilities)
4.1 Buyer Terms

Purchasing Services: Buyers can browse and purchase services (or digital products) listed by Sellers. When you place an order and the Seller accepts, you are entering a direct contract with the Seller for the provision of that service/product (“Service Contract”). Taskpull is not a party to this Service Contract, but we facilitate it by providing the platform and payment system.

Payment: Buyers must pay the total price at the time of ordering. Prices on Taskpull are typically listed in U.S. Dollars (USD) unless otherwise noted. You authorize Taskpull to charge your selected payment method (credit card via Stripe, PayPal account, etc.) for the order amount plus any applicable taxes and fees. Payment is taken upfront and held until the service is delivered by the Seller. Taskpull charges a Service Fee of $2.50 USD on each order, which will be added at checkout. This Buyer service fee covers administrative costs and is non-refundable, except if we decide to refund it as part of a goodwill gesture or under our Money-Back Guarantee (see Refund Policy). The service fee will be disclosed before you confirm payment.

Order Fulfillment: After payment, the Seller is expected to deliver the work or product by the agreed deadline (or within a stated delivery time). Buyers should provide clear requirements and respond to Seller’s questions promptly to facilitate timely delivery. Once the Seller marks an order as delivered, you should review the work. If it meets the agreed specifications, you should mark the order as complete. If there are issues, you may request revisions (if included in the service terms) or discuss with the Seller to resolve any discrepancies.

14-Day Money-Back Guarantee: Taskpull wants Buyers to be satisfied. We offer a 14-day money-back guarantee on all orders for Buyers’ peace of mind. Within 14 days of order delivery or completion, a Buyer may request a refund for any reason (for example, if the delivered work did not meet expectations or if the product was not as described). Our dedicated team will review the request. If the request is made in good faith and the issues cannot be resolved with the Seller, we will refund the order payment to the Buyer, including the order amount and the $2.50 service fee (if applicable). The refunded amount will typically be returned to the original payment method. Abuse of this guarantee (such as repeatedly claiming refunds without valid reasons or continuing to use delivered work after getting a refund) is prohibited and may result in loss of access to the guarantee or account suspension. (This guarantee does not limit your legal rights – e.g., it is separate from any statutory right of withdrawal or warranty you may have; it is an additional benefit.)

Buyer Responsibilities: As a Buyer, you agree to use the delivered work only after you have the rights to do so (e.g. after paying for it). You should not attempt to unlawfully use or resell any work without completing payment. If a project requires the Seller to access your systems or accounts, you are responsible for ensuring they have appropriate, limited access and that you change passwords after completion. Provide feedback and accept deliveries in a timely manner. If you are unresponsive for an extended period, the Seller may mark the order as completed.

Disputes with Sellers: If there’s a disagreement with a Seller (e.g., quality of work, delays), we encourage you to first communicate with the Seller through Taskpull’s messaging to try to resolve it. If you cannot reach a resolution, you can escalate to Taskpull’s Dispute Resolution process. We may mediate by reviewing the order details, communications, and deliverables. We may suggest a resolution such as partial refund, additional revisions, or other fair outcome. Our determination, if accepted by both parties, will be binding. (Note: You still retain legal rights to pursue claims outside the platform, but our internal dispute process aims to resolve issues quickly without formal legal action.).

No Circumvention Reminder: Do not ask a Seller to complete a transaction outside Taskpull. Payments must go through our Platform for both parties’ protection.
4.2 Seller Terms

Listing Services & Products: Sellers can create “Tasks” or listings for the services they offer or digital products they sell. You must ensure each listing is accurate, clear, and complete. Include the scope of work, what the Buyer will receive, the price, and delivery time. Any terms specific to your service (number of revisions, formats delivered, etc.) should be stated. You agree to only offer work that you are capable of delivering to a high standard and within the time frame you set.

Service and Marketing Fees: Fees: Using Taskpull is free to set up an account and list services. However, when you sell a service or product, Taskpull will charge you two fees on each sale: a Service Fee of 15% of the transaction amount, and a Marketing Fee of 25%. These fees (totaling 40%) are deducted from the payout of each order. For example, if you sell a service for $100, Taskpull will deduct $40 in fees and you will receive $60. These fees cover the use of the platform, payment processing, customer support, and the marketing and promotion Taskpull provides to attract buyers to the site. We may issue invoices or statements to you reflecting the fees for your records. The fees are automatically applied – you do not need to separately pay them, but you should price your services accordingly. Taskpull reserves the right to adjust fee percentages in the future with notice to you, but the above rates currently apply.

Earnings and Payouts: The Buyer’s payment (minus the fees above) will be credited to your Taskpull account balance once an order is marked as completed. Initially, these funds are in a pending state until any applicable clearance period passes (for example, we might hold funds for a short period after completion to ensure no immediate disputes or chargebacks, typically aligning with the 14-day refund window). After that, you may withdraw your earnings via the available payout methods (e.g. bank transfer, PayPal withdrawal). Important: To withdraw funds, you must have a verified identity and a valid payout account linked. The beneficiary name on your payout method should match your verified name on Taskpull for security. We may restrict withdrawals until verification steps are completed. Taskpull is not a bank; any balance in your account is not insured by us – it represents amounts to be paid to you, less any refunds to buyers if applicable. You will not earn interest on balances.

Subscription Plans (Freemium Model): Taskpull operates on a freemium model. As a Seller, you can use the basic features for free. We also offer paid subscription plans (“Pro” or similar) that provide enhanced features, such as increased visibility in search results, ability to list more tasks, advanced analytics, priority customer support, or lower transaction fees. Subscription details:

Plans may be monthly or annually billed. The pricing and benefits for each plan will be described on our Site.

If you subscribe, you agree to pay the subscription fee via the payment method on file. The subscription will auto-renew at the end of each term (monthly or yearly) by charging your payment method, unless you cancel prior to renewal.

You can cancel a subscription at any time from your account settings. Cancellation will stop future billing, but you will retain the premium features until the end of the period you paid for. There are no pro-rated refunds for mid-period cancellation, except as required by law or a short initial cooling-off period for EU consumers.

Downgrading to a free plan may result in loss of access to some features or capacity (for example, if you had more listings than allowed on free plan, you’ll need to select which to keep active).

We may adjust subscription fees, but will give you notice and the chance to cancel if you don’t agree with new prices.

Seller’s Obligations: As a Seller, you agree to deliver work of professional quality, on time, and as described. Maintain good communication with Buyers – if there are any delays or issues, inform the Buyer promptly via the Platform’s messaging. If a Buyer requests revisions (and they are within the scope or within any included revision count), you should make a good faith effort to satisfy the request. You must deliver the final work through the Taskpull platform (for example, by attaching files or providing results in the order delivery message) so that there is a record. You should not deliver empty or incomplete work simply to mark an order as delivered; doing so is against our policies and can lead to penalties.

Digital Products: If you sell digital products (like stock photos, design templates, software, e-books, etc.), ensure that you have all necessary rights to sell those items. You grant Buyers a license to use the product as described in your listing. For example, if you sell a WordPress theme you created, you should specify the license terms (personal use, commercial use, etc.). If not specified, it’s assumed the Buyer gets a broad license to use the purchased item for lawful purposes. Sellers should not sell digital goods that infringe others’ intellectual property (e.g., no selling someone else’s code or artwork without permission). Taskpull may require proof of ownership or rights for digital products if there are complaints.

Intellectual Property in Work Deliverables: By default, when a Seller delivers a custom work to a Buyer and the order is completed, the intellectual property rights in the work product are transferred to the Buyer, unless otherwise specified in the service description. This means the Buyer obtains ownership of the delivered work or a license to use it for the intended purpose. (An exception might be if the deliverable includes Seller’s pre-existing materials or open-source components – the Seller should disclose any such inclusion and the associated license.) Sellers agree that upon full payment, the Buyer is granted all rights to use the delivered work, and Sellers will not claim further royalties or rights. However, Sellers retain moral rights (if applicable) and the right to showcase the work in portfolios unless the Buyer requests confidentiality or a work-for-hire arrangement that precludes that. Taskpull is not responsible for enforcing IP transfer between users but encourages both parties to clearly communicate if any special IP terms apply.

Seller’s Warranty: You represent and warrant that the work you deliver is your original work or that you have obtained all necessary permissions and licenses to use any third-party content (images, music, code, etc.) in your deliveries. The work should not infringe any copyright, trademark, or other rights of any third party. If you incorporate open-source or stock elements, disclose this to the Buyer and comply with those licenses. You also warrant that the work does not contain anything defamatory, obscene, or that violates any law. If you breach this warranty, you agree to indemnify Taskpull and the Buyer for any losses (see Indemnification below).

Ratings and Feedback: After an order is completed, Buyers can leave a rating and review of the Seller. This feedback system is important to our marketplace. Sellers should strive for positive feedback but also note that any attempt to game or manipulate the feedback system (such as incentivizing buyers for positive reviews, or retaliating against negative reviews) is prohibited. You may respond to reviews professionally if you feel there’s a misunderstanding. Taskpull may remove feedback that violates our policies (e.g., if it contains hate speech or irrelevant comments), but not simply because it’s critical.

Disputes with Buyers: If a Buyer is not satisfied, try to resolve it amicably through revisions or discussion. If a dispute is escalated to Taskpull, you agree to abide by our resolution decision. We aim to be fair; for example, if work was delivered but the Buyer claims it’s not what was agreed, we will review communications and the work delivered. If you did fulfill the terms, we’ll likely side with you; if not, you may be asked to refund. We also take into account the 14-day guarantee – if within that period, often the Buyer may be entitled to refund. Sellers acknowledge this risk and should work to satisfy buyers to avoid refunds. Taskpull’s dispute mediation does not eliminate either party’s rights to legal remedies, but our internal decision will be implemented with respect to payment on the Platform (e.g., releasing or refunding funds).
5. Payments, Billing, and Fees

Currency: Unless stated otherwise, all monetary amounts on Taskpull are in United States Dollars (USD). We may display approximate conversions to other currencies for convenience, but transactions are processed in USD (or possibly in other currencies if we introduce multi-currency support). If your payment method or bank operates in another currency, exchange rates and fees might apply which we do not control.

Payment Processing: Payments on Taskpull are handled by third-party processors: currently Stripe (for credit/debit cards) and PayPal. By paying or receiving money on Taskpull, you also agree to the terms and conditions of those payment providers (you can find Stripe’s Services Agreement and PayPal’s User Agreement on their websites). We may add or change providers over time. We do not store your card details on our servers; if you save a card for reuse, it is stored securely by Stripe. Taskpull is PCI-DSS compliant through our payment partners.

Buyers’ Fees: As mentioned, Buyers pay the service/gateway fee of $2.50 on each order at checkout. This fee is clearly shown before purchase. It is generally non-refundable, except in cases of order cancellation within our policies. The fee helps cover payment processing costs and Platform maintenance. Buyers will also be responsible for any applicable taxes (such as VAT or GST) based on their location. If a Buyer is in the EU, for example, VAT may be added to the purchase price of digital services as required by law. We will inform you of such taxes during checkout.

Sellers’ Fees: Sellers are charged the 15% + 25% fees on their earnings, as detailed in Section 4.2. These are deducted automatically. Additionally, withdrawal of funds might incur a small processing fee depending on the method (e.g., PayPal withdrawal fee, bank transfer fee). We will disclose any withdrawal fees at the time of withdrawal. If a Seller is required to pay any taxes on their income (like VAT if the Seller is VAT-registered in the EU, or income taxes), it is the Seller’s responsibility to handle those. Taskpull may collect VAT on fees where required (for instance, if Taskpull’s services to Sellers are considered electronic services subject to VAT, we might add VAT to our fees for Sellers in certain jurisdictions). Sellers should consult a tax advisor if needed; Taskpull will provide invoices or statements for fees if requested to assist in tax filing.

No Outside Payments: All payments for services procured through Taskpull must be made through Taskpull’s payment system. Users must not attempt to pay via cash, crypto, direct bank transfers (outside our provided methods), or any other method off-platform. This is to ensure safety, proper record-keeping, and fee collection. Off-platform payments are not protected by our guarantee or dispute resolution. If a Seller asks for direct payment (or vice versa), refuse and report to Taskpull.

Chargebacks: In the event of a chargeback or payment dispute initiated by a Buyer through their bank or card issuer, the Seller agrees to cooperate with Taskpull to provide any needed evidence to challenge the chargeback. If the chargeback is lost (meaning the funds are returned to the Buyer by the payment provider), Taskpull will deduct that amount from the Seller’s account (since the Seller did receive the funds initially). This may result in a negative balance for the Seller if they have already withdrawn the funds. Sellers should be aware that delivering high-quality work and maintaining good communication can help prevent chargebacks. Fraudulent chargebacks by Buyers (where work was delivered) are a violation of these Terms, and Taskpull will take action against such buyers.

Refunds and Cancellations: The process for refunds is detailed in our Refund Policy below. In summary, a cancellation before a Seller has delivered can often be mutually agreed and the Buyer refunded. If a Seller fails to deliver by the deadline, the Buyer can cancel and get a refund. If work is delivered but Buyer is dissatisfied, the 14-day guarantee applies. When refunds are issued, funds will return to the Buyer’s original payment method whenever possible (or as credits usable on the Platform if agreed). Sellers acknowledge that if a refund is given to the Buyer, they will not be paid for that order, or if already paid, we may recover the amount from their Taskpull balance or future earnings.
6. Intellectual Property and Confidentiality

User-Generated Content: Users (Buyers and Sellers) may post content on the Platform, such as profile information, service listings, portfolio samples, reviews, messages, etc. You retain ownership of the content you post, but you grant Taskpull a worldwide, royalty-free, sublicensable license to use, reproduce, modify (for formatting/display purposes), and display that content as needed to operate and promote the Platform. For example, we may display your profile or gig descriptions on our site, use snippets in marketing (with credit to you), or feature your work in our social media. We will not sell your content to third parties or use it outside Platform promotion without your consent. If you delete content or your account, we will stop using it (though cached or archived versions might persist for a time).

Taskpull Trademarks and Branding: “Taskpull”, our logo, and any other trademarks or service marks we use are our property. You may not use our name or logos without our prior written consent, except to factually describe your use of our Platform (for example, stating “I offer services on Taskpull” is fine, but creating a business using our name or a confusingly similar name is not). In particular, you cannot imply any partnership or endorsement by Taskpull without permission. See our Trademark Policy below for more details on usage guidelines.

Third-Party IP Infringement: We respect intellectual property rights of others and expect users to do the same. If you believe a user on Taskpull is infringing your copyright, trademark, or other IP rights (for example, a Seller is offering pirated software, or a user copied your logo or brand), please notify us as outlined in the Trademark Policy / IP Policy. We will investigate and remove or disable infringing content in accordance with applicable laws (such as the Digital Millennium Copyright Act (DMCA) in the U.S. and EU copyright directives). Repeated infringement by a user will result in account termination.

Confidentiality: During a project, Buyers and Sellers might share confidential information with each other (for example, a Buyer may share business plans or login credentials for their website; a Seller may share proprietary techniques). Users agree to keep such information confidential and only use it for the purpose of completing the project. Do not disclose or use the other party’s confidential info for your own benefit or anyone else’s. Confidential information does not include anything that is public or was already lawfully known to the recipient. Taskpull will treat private communications between users as confidential to the extent possible, but we may access them to enforce these Terms or if required by law (as noted in Privacy Policy). If you need an NDA for a project, you are responsible for arranging that separately (though our Terms still impose a basic duty of confidentiality).

Portfolios and References: Sellers have the right to display parts of the delivered work in their Taskpull portfolio unless the Buyer explicitly requests confidentiality or if the work is sensitive (e.g., ghostwriting where Buyer will publish under their name). However, if an NDA is agreed off-platform or Buyer requests the work remain private, the Seller must comply and not use it in portfolio. Taskpull may still retain a copy internally for dispute resolution or legal obligations even if not publicly displayed.
7. Taskpull’s Role and Responsibilities

Platform Provider: Taskpull provides the technology platform and acts as a facilitator of the marketplace. We do not guarantee the quality, safety, or legality of services advertised, the truth or accuracy of users’ content, or that a Buyer or Seller will actually complete a transaction. While we have rules and may conduct checks, we cannot verify every piece of content or every user. Users transact at their own risk, though we do provide protections like the payment escrow and refund policy.

No Employment Relationship: Taskpull is not an employer of Sellers, nor are we an agent of Buyers in a legal sense. Buyers and Sellers are independent parties. Sellers are not entitled to any employee benefits from Taskpull, and Taskpull does not withhold any taxes on Sellers’ behalf (Sellers are responsible for their own taxes). There is no joint venture, partnership, or franchise relationship between users and Taskpull by virtue of using the Platform. Sellers cannot make any claim against Taskpull for employment-type benefits, and Buyers should not treat freelancers as employees (unless you separately arrange an employment contract outside of Taskpull – but that would be outside our Platform’s scope).

Monitoring and Enforcement: Taskpull may monitor user activity and content to maintain a healthy marketplace. This includes automated systems and manual reviews. We reserve the right to remove any content that violates these Terms or our policies or applicable law. We can also suspend or terminate accounts for violations (see Termination). Taskpull has the right (but not obligation) to take appropriate legal action for illegal or unauthorized use of the Platform, including referral to law enforcement.

Dispute Mediation: As described, we may act as a mediator in disputes, but we are not an arbitrator. Our decisions in the context of Platform dispute resolution are final with respect to handling of payments on the Platform, but users may pursue external legal remedies if unsatisfied. Taskpull’s dispute assistance is provided in good faith to help users settle issues informally. We do not offer legal advice to users.

Changes to Services: We may add, remove, or modify features of the Platform at any time. We strive to keep the Platform available 24/7, but there may be downtime for maintenance or issues beyond our control (like DDoS attacks or cloud service outages). We do not guarantee uninterrupted service, but we will do our best to inform users of major maintenance.

Marketplace Integrity: Taskpull may implement algorithms or controls that affect search results, ranking of tasks, or visibility. These are intended to surface the best quality or most relevant services to buyers. We may adjust these algorithms occasionally. We do not guarantee any particular placement or success to Sellers unless explicitly offered as part of a paid promotion or feature. We also may flag or reduce visibility of services that have delivered poor outcomes or violated policies.

Support: We provide customer support via our help center and email at support@taskpull.com. We aim to respond to inquiries within 1-2 business days. Support can assist with technical problems, account issues, or minor disputes. Note that support may be limited on weekends or holidays.
8. Termination and Account Closure

By User: You may close your Taskpull account at any time by using the account settings or by contacting support. Upon closure, any open orders will be cancelled (if you are a Buyer, you’ll be refunded for work not delivered; if you are a Seller, any in-progress work will be cancelled and you won’t be paid for it). We encourage you to complete or withdraw from any active projects before closing your account to avoid inconvenience. We may retain your data as required (see Privacy Policy for data deletion practices).

By Taskpull: We reserve the right to suspend or terminate your account at our discretion for reasons including:

Breach of these Terms or any other policy (e.g. violations of the communication or payment rules, illegal activity, fraud).

Repeated poor feedback or complaints from other users indicating unsatisfactory performance.

Any conduct that, in our judgment, damages the integrity of the marketplace or other users’ experience (such as harassment, spamming, attempting to circumvent fees).

If required by law (e.g. we learn you are on a sanctions list, or a court order requires us to bar you).
In most cases, we will send you a warning or ask for corrective action before termination, except for severe cases. If your account is terminated, any funds in your account may be frozen or seized if they relate to illegal or fraudulent transactions. Otherwise, if you have a balance, we will typically return it to you (for Buyers, via refund; for Sellers, via withdrawal) after resolving any pending matters (like open disputes or chargebacks). Termination for cause may also mean you are prohibited from re-registering on Taskpull. We may also disable access to content you posted.

Effect of Termination: Upon termination, your right to use the Platform ceases immediately. You must stop using the Platform and cannot represent yourself as an active Taskpull user. Any provisions of these Terms that by their nature should survive termination (such as confidentiality, IP rights transfer, indemnification, limitation of liability, etc.) will remain in effect. If you were a Seller, any listings will be taken down. If you were a Buyer with ongoing subscriptions (like a subscription-based service from a Seller), those will be cancelled.

Appeal: If you believe your account was suspended or terminated in error, you may contact our support to request a review. We may choose to reinstate accounts if the issue is resolved or if extenuating circumstances are presented, but we are not obligated to do so.

Dormant Accounts: Accounts that are inactive (no login) for a very long period (e.g. 2 years) may be archived or removed to free up usernames and manage data. We will notify you by email before doing so. If an account has a balance and is dormant, we will attempt to contact you to withdraw the funds; if we cannot reach you, we may be required by law to treat the funds as unclaimed property.
9. Disclaimer of Warranties
Use at Your Own Risk: Taskpull provides the Platform and services on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Platform will be error-free, secure, or operate without interruptions. Any material or information obtained through Taskpull is at your own discretion and risk.

Taskpull is not liable for the quality or outcome of services provided by Sellers. While we vet and allow ratings, the actual service is the Seller’s responsibility. We make no warranty that any service or deliverable will meet your requirements or expectations.

We do not guarantee that using Taskpull will result in any Buyer finding the perfect freelancer or any Seller obtaining work. We provide opportunities, but results may vary.

No advice or information (oral or written) obtained from Taskpull or through the Platform shall create any warranty not expressly stated in these Terms. For example, while we may provide guidelines or tips, we don’t warrant that following them will guarantee success or avoid issues.
Third-Party Services: Some features (like payment processing, or perhaps integrating a video call) involve third-party services. Taskpull is not responsible for the acts or omissions of any third-party providers. For instance, we cannot guarantee PayPal or Stripe’s services, and any issues with those services are disclaimed by us (though we will support you in resolving them).
Legal Compliance: We strive to comply with laws, but we do not warrant that our documents (like these Terms or any template contracts) will suffice for your legal needs. (This is more relevant to Sellers offering work – ensure you comply with local laws, licensing, etc. Taskpull cannot guarantee you won’t face legal issues if you misuse the Platform.)
In jurisdictions that do not allow the exclusion of certain warranties, some of the above disclaimers may not apply to you. However, in such cases, our warranties are limited to the minimum legally required.
10. Limitation of Liability
To the extent permitted by law, Taskpull’s liability to any user is limited. We are not liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to the use of (or inability to use) our Platform or services. This includes, without limitation, damages for lost profits, lost data, loss of goodwill, or the cost of procurement of substitute services, even if we have been advised of the possibility of such damages.
Taskpull’s total cumulative liability to a user for any claims arising from or related to the Platform is limited to the greater of: (a) the total amount of fees (buyer fees and seller fees) you paid to Taskpull in the 6 months prior to the claim, or (b) USD $100. This limitation applies whether the claim is based on warranty, contract, tort (including negligence), or any other legal theory.
Exceptions: We do not exclude or limit liability for things that cannot be limited by law. In particular, nothing in these Terms limits Taskpull’s liability for: (i) death or personal injury caused by our negligence or willful misconduct, (ii) our fraud or fraudulent misrepresentation, or (iii) any liability that cannot be excluded under applicable law (such as certain statutory consumer liabilities). Also, if you are a consumer in the EU, you may have specific legal rights that are not waivable, and nothing in these Terms should be read to deprive you of those rights.
German Law Specific: If German law applies, we note that under German law we cannot limit liability for intent or gross negligence, or for breach of fundamental contractual obligations resulting in typical foreseeable damages, nor for personal injuries. Any limitation in these Terms shall be interpreted in a manner consistent with those principles. Specifically, in case of slight negligence, Taskpull is only liable for breach of essential duties (cardinal obligations) and only to the extent of the typical damages foreseeable at contract formation. We have no liability for slight negligence breach of non-essential duties.
Users understand that Taskpull is not responsible for the actions of other users. If a Buyer or Seller you interact with fails to fulfill their obligations, gets into a dispute, or causes you harm, that user is responsible, not Taskpull (though we provide the dispute processes as a facilitator). You agree not to hold Taskpull responsible for any conduct or content of other users.
11. Indemnification
You agree to indemnify and hold harmless Taskpull, its affiliates, officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

your use of the Platform or services (including any contracts or disputes with other users),

your breach of any provision of these Terms or other incorporated policies,

your infringement of any third-party rights (including intellectual property or privacy rights) through content or work you provide via Taskpull,
-
any fraud or will ful misconduct by you.
For example, if you are a Seller and deliver content that plagiarizes another’s work and Taskpull or the Buyer gets sued because of it, you would indemnify (reimburse) us for the costs and damages. Or if you are a Buyer and you misuse a delivered work in an illegal way, causing claims against Taskpull, you’d indemnify us.
We will notify you of any such claim and may allow you to assist in the defense (provided that any settlement must be approved by us if it involves any admission of fault or payment by us). This indemnification obligation survives termination of your account or these Terms.
12. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Germany, without regard to its conflict of law principles, and specifically excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer residing in the European Union, you may also be afforded the protection of mandatory provisions of the law of your country of residence; nothing in these Terms affects your rights as a consumer to rely on such local laws.
Jurisdiction: Any disputes arising out of or relating to these Terms or the use of the Platform that cannot be resolved through our internal dispute resolution process shall be subject to the exclusive jurisdiction of the courts in Berlin, Germany, provided that if you are a consumer (as per EU regulations), you may also choose to bring proceedings in your country of residence. We both consent to the personal jurisdiction of these courts.
However, before resorting to litigation, we strongly encourage attempting alternative dispute resolution:

Negotiation: You agree to first contact us at disputes@Taskpull.com and attempt in good faith to resolve the issue directly with us. Most user concerns can be resolved through our support team.

Mediation/ADR: If direct negotiation fails, we may mutually consider mediation or another informal resolution method.
Online Dispute Resolution (ODR): If you are an EU consumer, note that the European Commission provides an Online Dispute Resolution platform for resolving consumer disputes, available at https://ec.europa.eu/consumers/odr. Taskpull’s contact email is support@Taskpull.com for any ODR proceedings. However, please be aware that Taskpull is not obliged and currently not willing to participate in formal alternative dispute resolution procedures with a consumer arbitration board, as per German Consumer Dispute Resolution Act (VSBG). This means while you can use the ODR platform to initiate a complaint, we may handle it internally rather than through a specific ADR entity. We prefer to work with you directly to settle any issues.
Class Actions and Jury (if applicable): To the extent permitted by law, you and Taskpull each waive any right to participate in a class or representative action against the other. Any dispute will be resolved on an individual basis. (If you are a consumer in a jurisdiction that does not allow this waiver, it may not apply to you.) We also agree to waive any right to a jury trial if a lawsuit does arise, to streamline the proceedings (again, if allowed by law).
13. General Provisions

Entire Agreement: These Terms, along with the Privacy Policy, Refund Policy, Trademark Policy, Disclaimer, and any other policies or guidelines posted on our Site, constitute the entire agreement between you and Taskpull regarding the use of our Platform, and supersede any prior agreements or understandings. Any additional or different terms (including any on a purchase order or other document you send to us) are rejected and will not apply, unless we expressly agree in writing.

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be severed and the remainder of the Terms will remain in effect. We can replace any invalid provision with a valid one that achieves, as far as possible, the original intent.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right. A waiver is only effective if in writing and signed by our authorized representative.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Taskpull may assign its rights and obligations to a third party in the event of a merger, acquisition, sale of assets, or by operation of law or otherwise. These Terms will inure to the benefit of and be binding upon respective successors and permitted assigns of the parties.

No Agency: No joint venture, partnership, employment, or agency relationship exists between you and Taskpull as a result of this Agreement or your use of the Platform. You do not have any authority to bind Taskpull in any respect.

Notices: Taskpull may provide notices to you via email (to the address associated with your account), through your account dashboard, or via postings on our Site. You are responsible for maintaining a valid email. Notices will be considered received by you within 24 hours of the time posted or sent. If you need to give notice to us, please do so by email to legal@taskpull.com or by postal mail to our address listed in the Impressum.

Language: These Terms are provided in English. If we provide a translation, it is for convenience only. In the event of any conflict between the English version and a translated version, the English version will control, to the extent not prohibited by local law in your jurisdiction.

Force Majeure: Taskpull will not be liable for any delay or failure to perform due to events beyond our reasonable control, such as acts of God, natural disasters, war, terrorism, riots, labor disputes, internet or power outages, or governmental actions. We will do our best to resume service as soon as practicable.
